Ambassador Program Terms

1. The program
The NetworkOS Ambassadors program (the "Program") is operated by Redwood Advisory Services ("we", "us") for the NetworkOS service. By applying to or participating in the Program you ("you", the "Ambassador") agree to these terms and to the NetworkOS Terms of Service. For the purposes of endorsement disclosure and tax reporting, an Ambassador is an affiliate of NetworkOS.
Participation requires our approval, which we may withhold or withdraw at our discretion. We issue each approved Ambassador a promotion code and a referral link.
2. Qualifying referrals
A "Qualifying Referral" is a new NetworkOS customer whose subscription carries your promotion code at checkout, either because they arrived through your referral link (which remembers your code for 60 days) or because they entered your code on the code screen before starting their trial. The promotion code recorded on the subscription is the sole record of attribution. If more than one code could apply, the code on the subscription controls.
Teams accounts are not self-serve. A Teams referral qualifies only when we confirm the attribution to you in writing before the account is created.
3. Referred customer offer
A Qualifying Referral receives 30% off the NetworkOS Pro plan for their first 12 billing months, beginning when billing begins after any free trial. The offer is available to new customers only. We may change the offer for future referrals on 30 days' notice.
4. Your own seat
An approved Ambassador may take a 40% discount on their own NetworkOS Pro subscription for as long as they remain in the Program. That seat earns no share and does not count as a referral. The discount ends when your participation ends: we give you 30 days' notice before we remove it, and your subscription then continues at the standard price.
5. Your share
For each Qualifying Referral we pay you 15% of the payments we actually collect from that customer's account for 24 months from the account's first paid invoice, on subscription and usage charges, net of refunds, chargebacks, credits, and taxes collected. We may extend that window at our discretion.
Your share is earned when we collect payment, not when a customer signs up. No share is earned on free trials, on comped or fully discounted accounts, or on payments we do not collect.
6. Payment
We pay your share monthly, on or about the 10th, for invoices paid in the previous calendar month, by bank transfer (ACH) in the United States or by Wise elsewhere. There is no minimum amount.
Before your first payment you must provide a completed IRS Form W-9 (US persons) or Form W-8BEN (non-US persons) and the bank account to pay into. We will issue tax forms where required by law. You are responsible for all taxes on amounts we pay you.
7. Refunds and clawback
If we refund, credit, or lose to a chargeback any payment on which we have already paid your share, we deduct that amount from your subsequent payments.
8. Prohibited conduct
You may not:
- Bid on or run paid search or paid social advertising on "NetworkOS", "thenetworkos", or any confusingly similar term
- List your code or link on coupon, deal, cashback, or voucher sites, or in popups, popunders, or interstitials
- Send unsolicited email or messages, or otherwise spam, to promote NetworkOS
- Use cookie stuffing, forced clicks, or any technique that attributes a customer who did not knowingly use your link or code
- Refer yourself, accounts you control, or accounts you pay for
- Make claims about NetworkOS, its pricing, or the offer that we have not published, or present yourself as NetworkOS
- Do anything that would breach the NetworkOS Terms of Service
A breach of this section forfeits any unpaid share and ends your participation.
9. Disclosure
Wherever you share your link or code you must clearly disclose that you earn a share of what we collect, in a way that meets the U.S. Federal Trade Commission's endorsement guidance and any equivalent rules where you operate.
10. Changes, code revocation, and termination
We may change the share rate, the referred customer offer, or these terms, or end the Program, on 30 days' written notice (email to the address on your application is sufficient). A share earned before the effective date of a change is paid under the terms in force when it was earned.
Revoking your promotion code stops new referrals: no one new can redeem it, and the accounts referred before we revoked it keep their discount and keep earning your share for the rest of their original 24-month window. The same applies when either of us ends your participation on notice, and when we end the Program on 30 days' notice: no new referrals, and the accounts you have already referred finish their original 24-month window, paid on the normal schedule. None of this extends a window or starts a new one; it honors the business you have already introduced. Your share is still earned only on payments we collect, so a customer's cancellation, nonpayment, refund, or chargeback is handled under sections 5 and 7.
Fraud or a material breach of section 8 is the exception: your participation ends and any unpaid share is forfeited.
11. Relationship
You are an independent contractor. Nothing in these terms creates an agency, partnership, joint venture, franchise, or employment relationship, and neither of us is exclusive to the other. You have no authority to bind us.
12. Limitation of liability
To the fullest extent permitted by law, our total liability to you under the Program is limited to the share owed to you and unpaid at the time the claim arises. We are not liable for indirect, incidental, special, consequential, or punitive damages, or for lost profits, arising from the Program.
13. Governing law
These terms are governed by the same law and subject to the same dispute resolution provisions as the NetworkOS Terms of Service.
