Agreement to Terms

By accessing or using NetworkOS ("Service"), you agree to be bound by these Terms of Service ("Terms"). If you disagree with any part of the terms, you may not access the Service. These Terms apply to all visitors, users, and others who access or use the Service.

Description of Service

NetworkOS is a platform designed to help advisors and professionals manage their networks, facilitate introductions, and track the value of their advisory relationships. The Service includes network mapping, AI-powered matching, introduction management, and analytics features.

Accounts

When you create an account with us, you must provide accurate, complete, and current information. Failure to do so constitutes a breach of the Terms, which may result in immediate termination of your account.

You are responsible for safeguarding the password that you use to access the Service and for any activities or actions under your password. You agree not to disclose your password to any third party.

You must notify us immediately upon becoming aware of any breach of security or unauthorized use of your account.

Acceptable Use

You agree to use the Service only for lawful purposes and in accordance with these Terms. You agree not to:

• Use the Service in any way that violates any applicable law or regulation
• Send unsolicited communications, promotions, or spam through the Service
• Impersonate or attempt to impersonate another person or entity
• Engage in any conduct that restricts or inhibits anyone's use of the Service
• Attempt to gain unauthorized access to any portion of the Service
• Use the Service to collect or store personal data about other users without their consent
• Use any automated system to access the Service in a manner that exceeds reasonable use
• Introduce any viruses, trojan horses, worms, or other malicious code

Connected Accounts

The Service may allow you to connect third-party accounts (such as Google) to enhance functionality. By connecting these accounts, you:

• Grant us permission to access certain information from those accounts as described in our Privacy Policy
• Represent that you have the authority to grant such access
• Understand that you can disconnect these accounts at any time

We are not responsible for the availability, accuracy, or reliability of information from connected third-party services.

Intellectual Property

The Service and its original content, features, and functionality are and will remain the exclusive property of NetworkOS and its licensors. The Service is protected by copyright, trademark, and other laws.

Our trademarks may not be used in connection with any product or service without our prior written consent.

User Content

You retain all rights to any content you submit, post, or display on or through the Service ("User Content"). By providing User Content, you grant us a worldwide, non-exclusive, royalty-free license to use, reproduce, modify, and display such content solely for the purpose of providing the Service.

You represent and warrant that you own or have the necessary rights to grant the above license and that your User Content does not violate any third-party rights.

Subscription and Payments

Some features of the Service may require a paid subscription. By subscribing:

• You agree to pay all fees associated with your subscription plan
• Subscriptions automatically renew unless cancelled before the renewal date
• You can cancel your subscription at any time through your account settings
• Refunds are provided in accordance with our refund policy

We reserve the right to change our prices with 30 days notice. Continued use after price changes constitutes acceptance of new pricing.

Termination

We may terminate or suspend your account immediately, without prior notice or liability, for any reason, including if you breach the Terms.

Upon termination, your right to use the Service will immediately cease. If you wish to terminate your account, you may simply discontinue using the Service or contact us to delete your account.

Limitation of Liability

In no event shall NetworkOS, nor its directors, employees, partners, agents, suppliers, or affiliates, be liable for any indirect, incidental, special, consequential, or punitive damages, including without limitation, loss of profits, data, use, goodwill, or other intangible losses, resulting from:

• Your access to or use of (or inability to access or use) the Service
• Any conduct or content of any third party on the Service
• Any content obtained from the Service
• Unauthorized access, use, or alteration of your transmissions or content

Disclaimer

Your use of the Service is at your sole risk. The Service is provided on an "AS IS" and "AS AVAILABLE" basis. The Service is provided without warranties of any kind, whether express or implied, including, but not limited to, implied warranties of merchantability, fitness for a particular purpose, non-infringement, or course of performance.

Governing Law

These Terms shall be governed and construed in accordance with the laws of the State of Delaware, United States, without regard to its conflict of law provisions. Any legal action or proceeding arising under these Terms will be brought exclusively in the federal or state courts located in Delaware.

Changes to Terms

We reserve the right to modify or replace these Terms at any time. If a revision is material, we will try to provide at least 30 days notice prior to any new terms taking effect. What constitutes a material change will be determined at our sole discretion. By continuing to access or use our Service after those revisions become effective, you agree to be bound by the revised terms.
